Shares Paid in Cash and Assets? SSM May Need Your Updated Records by 14 January 2027
SSM revised its Practice Directive No. 11/2026 on 6 November 2026. It asks certain companies to lodge their shareholders' and share capital information.
So, what is this about?
With its new Corporate Registry System (CRS), SSM wants the share records in its registry to match the records kept at your registered office.
Which companies need to lodge?
The first group is a company with only one type of share and more than one shareholder, where some shares were paid for in cash and some were paid in other ways.
For example, two partners own a company with ordinary shares only. One paid cash. The other got his shares by handing over his lorry to the company. That company falls into this group.
The second group is a company with more than one class of shares and more than one shareholder.
The third group is foreign companies. Local public listed companies are not covered.
What changed in this revision?
The earlier version, dated 5 August 2026, did not cover companies with only one type of share. The new version adds them.
How do you lodge?
Local companies use the forms in Annexure B, foreign companies use Annexure C. They are lodged over the counter at any SSM office, with no fee.
You have from 14 July 2026 to 14 January 2027. The Registrar may extend this if he thinks it necessary.
Why does the timing matter?
SSM advises lodging this first, before lodging share changes listed in Annexure A, such as changes to the register of members or allotment of shares.
In simple terms, SSM wants your basic share records to be correct before any further share changes are made.
From a business perspective, if you plan to transfer or issue shares next year, settling this lodgement early may save you a delay later.
For companies whose shares were paid for partly in cash and partly in other ways, it may be worth checking the share records with your company secretary before 14 January 2027.
