Kept Quiet on Defective Goods and Only Complained When Sued? Here Is How It Ended.

In a commercial dispute, silence on the quality of goods received can be treated as acceptance. A recent Malaysian court case serves as a clear reminder that if a business accepts delivery after delivery without raising any objection, and only raises a quality complaint after being sued, that defence is unlikely to hold up in court.

This is exactly what happened between Maxchem Petroleum and Lubeguard Sdn Bhd. Maxchem was a petroleum supplier. Lubeguard was in the business of trading and distributing lubricants. Lubeguard had been purchasing base oil from Maxchem, and the orders came in regularly. The goods were delivered each time. Lubeguard accepted every single consignment without raising any concern about quality.

Then the bills went unpaid. Maxchem sent a formal demand letter. Lubeguard's lawyer acknowledged receipt and said they would refer the matter for instructions. Still no mention of any quality issue. Still no objection to the amount claimed.

It was only after Maxchem took legal action that Lubeguard spoke up. The base oil had been defective all along, they said. Every delivery had failed to meet the required standard and had compromised the quality of the lubricant oil they were blending.

The court was not convinced. If the goods had truly been defective from the very first delivery, any reasonable business would have rejected further shipments, documented the complaint in writing, and withheld payment with a clear explanation. None of that happened. Lubeguard accepted delivery after delivery in complete silence, said nothing when the demand letter arrived, and raised the quality issue for the first time inside a courtroom.

The court treated silence as an implied acceptance that the goods were received in satisfactory condition and the debt was owed. The quality complaint, raised only after being sued, was dismissed as an afterthought.
